Overview
Good corporate governance is essential to the effective operation of a free market, which enables wealth creation and freedom from poverty. In this course we review the UK approach to corporate governance.
Professionals at any level of an organisation need to understand the principles of good corporate and why they are so important – particularly in the wake of some recent organisational failures such as Carillion.
There have been some recent updates to the Corporate Governance Code for listed companies and also the introduction of the Wates principles for large private organisations which are both covered in the course.

- appreciate the key developments in corporate governance over the last thirty years in the UK
- recognise the UK's approach to governance known as the ‘comply or explain’ approach
- understand the key requirements of the new UK Corporate Governance Code issued in 2018
Course content
- Summary of the Maxwell failure which was one of the triggers in developing codes in the UK
- The evolution of corporate governance in the UK over 30 years.
- Recent corporate failures/failings including BHS, Sports Direct and Carillion.
- Directors’ duties under s172 of the Companies Act 2006 and the connection with the Strategic Report
- An overview of the UK Corporate Governance Code revised in 2018 and a summary of The Wates principles for large private companies introduced in 2018.
